General Terms and Conditions ("GTC") for the use of Sentics Services 

 Version 1.0, valid from February 27, 2024 

1- Purpose and scope of application 

(1) Sentics GmbH, Hermann-Münch-Str. 2, 38440 Wolfsburg, Germany ("SENTICS") offers an innovative service platform for the implementation of computer vision in industry ("Service"). The Service consists of the following basic elements: 

• Active accident preventionby automatically reducing the speed of the vehicle in dangerous situations ("active collision avoidance"); 

• Analysis of data to identify dangerous situations and prevent accidents ("prevention services"); 

• Analysis of processes and quality assurance ("process services"). 

 

All elements are conclusively described in the respective valid service description. Further technical information can be found on the SENTICS website at https://www.sentics.de available. 

(2) SENTICS provides access to its service via a web-based platform ("Platform"). The purchase and use of the services offered on the platform are subject to these GTC. 

(3) These GTC are available at any time at https://www.sentics.de available. 

(4) In the event of a conflict, the following documents apply in hierarchical order: individual contract, individual offer from SENTICS, these GTC, service description, other applicable technical documentation. 

(5) Contractual declarations and notifications by the user in relation to these GTC and individual contracts (e.g. deadlines, notifications of defects, termination notices) must be made at least in text form (e.g. email, fax, letter) in order to be effective. 

2- Service 

(1) The service is provided via the platform and offered as a subscription model. The subscription can start with a free trial period, the duration of which is determined as part of the registration and account opening process. The free trial period is exclusively for testing the service. 

(2) The service is provided as a service, not as a work performance. SENTICS does not owe any specific results. 

(3) SENTICS guarantees the availability of the service in accordance with the service description and section 10 of these GTC. 

(4) The service is provided at the Internet interface of the SENTICS data center. The user is responsible for the required end devices. Minimum requirements for these end devices may be defined in the service description. If these are not met, any resulting restrictions or failures are not the responsibility of SENTICS. 

3- Computer vision and artificial intelligence models 

(1) SENTICS uses software that combines artificial intelligence (AI algorithms) with conventional digital image processing to provide its services. The AI models are pre-trained with large data sets and further optimized during customer implementation. 

(2) After commissioning, the pre-trained models are tested in customer operations and newly collected data is used to improve service quality. 

(3) SENTICS undertakes to maintain administrative, physical and technical safeguards to ensure the confidentiality and integrity of customer data. Both parties are responsible for compliance with data protection laws and consent rules. 

(4) Regular updates improve the functionality of the SENTICS service. If maintenance work is required, it will be carried out at weekends with prior notice. Customers must designate an update contact to coordinate the process. 

4- Purchase of the service 

(1) The service is acquired by ordering and accepting the offer. 

(2) The applicable service fees and payment methods will be communicated during the ordering process. 

(3) The fees for the service are to be paid in advance for the respective billing period. Unless otherwise agreed, this period shall be one month. 

(4) Additional services or support services may be charged separately. 

(5) The user remains responsible for any outstanding amounts. If a payment fails, access to the Service may be blocked. 

5- Remuneration and price changes 

(1) The agreed remuneration includes the use of the basic services and agreed additional services. Updates are included unless otherwise agreed. 

(2) The standard subscription period is 12 months, unless otherwise agreed. 

6- User obligations 

(1) The user is obliged to contribute to the provision of the service by, among other things 

• Initial passwords are changed and stored securely. 

• Registration data updated in case of changes. 

• The service requirements are met. 

• Regular cleaning and maintenance of the Aruco markers on the industrial vehicles. 

 

(2) The user may not take any actions that impair the service or the platform, e.g: 

• Automated data extraction or hacking attempts. 

• Uploading malicious software. 

• Reverse engineering of the platform. 

 

7- Limitation of liability 

(1) SENTICS is liable without limitation for damages to life, body or health. 

(2) SENTICS is only liable for other damages in the event of gross negligence or intent and in the event of breaches of material contractual obligations. 

8- Confidentiality 

(1) Both parties are obliged to protect confidential information and not to disclose it without authorization. 

(2) This confidentiality obligation shall remain in force for three years after the end of the contract. 

9- Term and termination 

(1) The user account shall remain valid until the subscription is terminated or expires. 

(2) Notices of termination must be given in writing. 

10- Applicable law and place of jurisdiction 

(1) The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. 

(2) The place of jurisdiction is Braunschweig, Germany. SENTICS may also bring an action at the user's registered office. 

11- Changes to the GTC 

SENTICS reserves the right to amend these GTC with seven weeks' notice. 

If the user does not object within six weeks, the changes are deemed to have been accepted.
